Contest Conditions – EIT ICT Labs Idea Challenge, 2014/03/11 1. Scope The EIT ICT Labs organizes the EIT ICT Labs Idea Challenge, a pan-European innovation contest in eight thematic fields aiming to support entrepreneurs and early-stage startups in the EU countries. Entrants are invited to submit a short outline of their business idea to be evaluated by a panel of experts. Based on the evaluation up to 10 teams per topic shall be invited to pitch their idea in front of a jury. Three winning teams shall then be selected by a jury comprised of the expert evaluators and representatives of the contest partners. The winners receive cash prizes of 40,000€ (1st place), 25,000€ (2nd place) and 15,000€ (3rd place), integration into the EIT ICT Labs community including coaching and mentoring by the Business Development Accelerator and office space in one of the CoLocation Centers of EIT ICT Labs. The EIT ICT Labs Germany GmbH is responsible for the central coordination of the contest, as well as managing the application and evaluation process. 2. Topics The EIT ICT Labs Idea Challenge solicits ideas in the realm of Information and Communication Technologies (ICT). In particular, ideas shall be classifiable in one of the following eight topics: • • • • • • • •

Health & Wellbeing Cyber-Physical Systems Smart Spaces Future Cloud Cyber Security and Privacy Internet Of Things Urban Life and Mobility Smart Energy Systems

The evaluation of the ideas shall be done by experts from these specific fields, both from within the EIT ICT Labs and external partners. 3. Timeline The EIT ICT Labs Idea Challenge will be organized in two waves. Submissions for the topics Health & Wellbeing, Cyber-Physical Systems, Smart Spaces and Future Cloud will be received from March 11th, 2014, 00:00 CEST until April 20th, 2014, 24:00 CEST. The finals for these four topics shall be held in May and June 2014. Submissions for the topics Cyber Security & Privacy, Internet of Things, Urban Life and Mobility and Smart Energy Systems will be received from September 1st, 2014, 00:00 CEST until September 30th, 2014, 24:00 CEST. The finals for these four topics shall be held in October and November 2014. The exact dates shall be announced on the contest website (http://ideachallenge.eitictlabs.eu). All finalists will also receive an email with the detailed timing of the final at least two weeks prior to the event. The submission deadline can only be extended, not shortened. The submissions must be finally submitted through the online submission tool before above mentioned deadlines to be accepted for the contest. The tentative schedule of the finals is as follows. 4. Participants The EIT ICT Labs Idea Challenge invites individuals and startup teams to submit their ideas. Individuals must have the citizenship or a legal residence in a member country of the European Union. Legally incorporated startups must be incorporated in a member country of the European Union to be eligible. Individual submitters must be at least 18 years of age. Legal entities must not be older than 3 years and must not have received 1st / series A round funding (seed funding and participation in accelerators and incubators are permissible) and must not be listed on a stock exchange. The submitted business idea must not exceed the pre-commercialized state, i.e. no significant revenues (24,000 EUR in the 12 months before submission deadline) may have been generated with the submitted idea. Individuals and incorporated entities which receive financial support from EIT ICT Labs based on a written agreement are excluded from participating. Individuals and incorporated entities may apply in multiple categories with the same idea. However, participation in finals and winning is restricted to one event. If a participant is selected for multiple finals one topic has to be chosen by the participant. The organizers will try to inform the participant about invitations to multiple finals as early as possible. 5. Evaluation and selection process The evaluation and selection process of the EIT ICT Labs Idea Challenge is designed to create an open, accountable, multi-step selection process based solely on the merit of the submitted ideas. All submissions shall receive the same opportunity. No quotas shall be established except that the number of participants selected for any one final will not exceed 10. Each eligible submitted idea shall be evaluated by a board of expert evaluators, both from within the EIT ICT Labs and external partner organizations, nominated by the organizers. The main selection criteria are a clearly expressed concept which in the view of the evaluators holds the most promise to have a significant impact on the ICT landscape, and a clearly stated use of the prize money within six months following the contest to work towards achieving that impact.

6. Finals The finalists as determined by the organizers shall be invited to pitch their idea before a Jury in one of the finals. The jury is made up of the expert evaluators, EIT ICT Labs executives, and possibly external experts invited by the organizers. At the conclusion of the pitches the Jury shall convene and decide on the winning ideas. The winners shall be announced on the same day or the subsequent one. If the Jury does not reach a consensus the decision is reached by the Olympic Bidding vote, conducted by the organizers. Eligible finalists will receive 500€ as contribution to the costs for their participation in the final. Attendance of the finals is required to be eligible for the prizes. No other costs of the entrants shall be covered by the organizers. 7. Prizes The winners of the finals as specified in clause 6 shall receive cash prizes of 40,000€ (1st place), 25,000€ (2nd place) and 15,000€ (3rd place), an integration into the EIT ICT Labs community including coaching and mentoring by the Business Development Accelerator and office space for up to 6 months in one of the Co-Location Centers of EIT ICT Labs. Office space is not a closed securable accomodation. In order to receive the prize funds an EIT ICT Labs Idea Challenge 2014 Prize Agreement (under development, will be published as soon as a final version is available) will have to be signed by the winning parties and the issuing EIT ICT Labs partner. EIT ICT Labs reserves the right to issue the cash prizes in two steps as described below. In any case will the first installment only be issued against production of a clearly outlined use of the prize money in the following 6 months. In case the cash prizes will be issued in two steps these will be as follows: 1. The first half of the prizes (20,000€ for the 1st place, 12,500€ for 2nd place and 7,500€ for 3rd place) will be issued after the winner announcement and based on the clearly laid out use of the prize money in the following 6 months. Part of this plan shall be the definition of milestones that shall be used for tracking the project progress. One of the milestones shall be defined for a hearing on project progress. 2. The second half of the prizes (20,000€ for the 1st place, 12,500€ for 2nd place and 7,500€ for 3rd place) will be issued after the hearing as defined in the project plan, in any case in 2014. The hearing is not intended as additional selection but to ensure the plan is on track. If the milestones are not met the payment may be postponed. In case the winners are a group of individuals that is not yet incorporated the group has to assign one recipient for the cash prize. The issuing parties will not split payments. The 500€ contribution to the costs for attending the finals will be issued within 4 weeks after the final. The preferred Co-Location Center shall be specified by the entrants during the submission process. The definite location can vary from the indicated one, if the winning team presents reasonable arguments regarding the necessity of the change. The organizers cannot guarantee to fulfill preferences for locations due to limited space in the Co-Location Centers. The willingness to work at one of the Co-Location Centers on a regular basis is required. Integration into any activities of the EIT ICT Labs after the initial 6 months will be decided on a caseby-case basis and will require an additional agreement and might be subject to additional conditions.

The prize winners shall be responsible for all possible taxes, wire transfer costs and other possible costs relating to the payment of prize amounts. 8. Intellectual Property and Publication Rights Entrants retain full and exclusive ownership of their prior information and intellectual property rights. By submitting their idea entrants warrant that they hold ownership or have legally secured the right to use all elements of the idea and that the idea, materials and information do not infringe any intellectual or other property rights, including patents, of any other persons, companies or other entities. Elements of the submission that are based on rights held by others, such as patents, shall be marked as such in the submission. The entrants shall have the right to further develop, use and license their intellectual property rights for creating, making, marketing and distributing products, services and technology. By submitting their application forms, the winners and finalists agree to the possible inclusion of their ideas in any media coverage by EIT ICT Labs and its partners, such as press releases or publications. Approval by the teams will be asked for before publication. Also all winners and finalists agree that their personal data such as their names and affiliations, pictures, videos, sounds may be used for such purposes by EIT ICT Labs and its partners. 9. Data protection The sole purpose of the collection of data is to verify the eligibility of the submitted ideas and to identify the best ideas. Only for the purposes of the execution of the competition entrants will provide name, postal address, email address and telephone number (“personal data”). EIT ICT Labs will process the submitted material according to German law. Personal data shall be deleted six months after the announcement of the contest winner. The evaluation of the submitted ideas will be done within FluidReview, an online evaluation management tool by Fluidware Corporation. Fluidware Corporation is based in Ontario, Canada. For this purpose the data will be transfered onto Fluidware’s servers located in Canada. YOUR CONSENT TO THE USE OF FLUIDREVIEW AS SUBMISSION AND EVALUATION TOOL: By submitting your idea within this challenge you consent that your data will be stored and processed in datacenters of a Canadian subcontractor of FluidReview for the purpose and the time of the Idea Challenge. The subcontractor is bound by Canadian law but is not audited by FluidReview according to European standards. The European Commission has recognised that the Canadian Personal Information Protection and Electronic Documents Act provides adequate protection for certain personal data transferred from the EU to Canada. Prior to signing up for the evaluation tool, evaluators will have to confirm to use the data solely for the purpose of the evaluation of ideas and to share them with nobody. If they export data from the online platform, they also have to confirm to destroy the data shortly after the completion of the evaluation. All documents generated through the export function will have a respective earmarking note. YOUR CONSENT TO THE USE OF PERSONAL DATA: By submitting your idea within this competition you consent that EIT ICT Labs Germany GmbH will collect, transfer, process, store and delete your data under above-mentioned conditions. 10. Acceptance of Terms and Conditions

By submitting their application form, entrants agree to the Terms and Conditions, which form part of their application. Entrants agree that they have no legal entitlement to a prize. EIT ICT Labs Germany GmbH reserves the right to make reasonable amendments to these Terms and Conditions. Amendments and additions to these Terms and Conditions shall be valid only if communicated in writing or otherwise made available to the entrants. Any deviation from these Terms and Conditions can only be made in writing and signed by an authorized representative of EIT ICT Labs Germany GmbH and the entrant. These Terms and Conditions are governed by the laws of Germany. Any disagreement or dispute which may arise in connection with these Terms and Conditions which cannot be settled amicably will be brought before the courts of Berlin, Germany. The Terms and Condition of the EIT ICT Labs Idea Challenge 2014 Prize Agreements may be governed by other EU law jurisdictions, which will be specified within the body of these agreements. To the maximum extent permitted by law, under no circumstances and under no legal theory whether in tort (including negligence) contract or otherwise shall EIT ICT Labs Germany GmbH or any local organizing entity be liable for any special indirect, punitive, incidental or consequential damages, including loss of profit. The liability of EIT ICT Labs and any local organizing entity shall in any case be limited to 1,000 EUR. 11. Organizers 11.1 Central coordination The EIT ICT Labs Idea Challenge is organized by EIT ICT Labs. The EIT ICT Labs Germany GmbH is responsible for the central coordination of the contest, as well as managing the application and evaluation process. The EIT ICT Labs Germany GmbH is the carrier of the German operations of EIT ICT Labs. It coordinates and implements the activities of EIT ICT Labs in Germany, such as the EIT ICT Labs Idea Challenge and others.
