Resolução Nº 294/2003-CA

States RULES OF CONDUCT to be obeyed by Broker Members of the São Paulo Stock Exchange (Bovespa) in their relationships with their clients and with the securities market.

Dispõe sobre as REGRAS DE CONDUTA a serem observadas pelas Sociedades Corretoras Membros da Bolsa de Valores de São Paulo (BOVESPA) no relacionamento com os respectivos clientes e com o mercado de títulos e valores mobiliários.

O Conselho de Administração da Bolsa de Valores de São Paulo (BOVESPA), no uso das atribuições que lhe confere o inciso III do artigo 68 do Estatuto Social, e tendo em vista o disposto no artigo 3º da Instrução CVM nº 387, de 28.04.03, da Comissão de Valores Mobiliários (CVM), The Council of the São Paulo Stock Exchange (Bovespa), under powers given by sub-Item III of Clause 68 of its Bylaws, and in accordance with Clause 3 of Instruction 387 of 28.04.03 issued by the CVM (Securities Commission), HEREBY DECIDES:

Clause 1 - Item 23.3 of Chapter XXIII of the Operational Regulations of Bovespa, approved by Resolution 286/2003-CA of 20/05/2003, shall now read as follows: 23.3

RULES OF CONDUCT

23.3.1 The Broker Members of Bovespa should, in their daily activities, obey Rules of Conduct compatible with and necessary for the good performance of their basic fiduciary function, which is part of their function of counseling and intermediation of securities for their clients: 23.3.2 General Rules of Conduct:

1)

To carry out their Securities Broking activities with probity and to maintain technical and financial capacity therefor;

2)

To act in the best interests of their clients;

3)

Continually to make their best efforts to maintain the integrity of the market;

4)

To cause high ethical standards to prevail in trading and behavior, in their relationships with:

RESOLVE:

Artigo 1º - O item 23.3 do Capítulo XXIII do Regulamento de Operações da Bovespa, aprovado pela Resolução nº 286/2003-CA, de 20/05/2003, passa a vigorar com a seguinte redação: 23.3

DAS REGRAS DE CONDUTA

23.3.1 As Sociedades Corretoras Membros da BOVESPA deverão observar, na condução de suas atividades, REGRAS DE CONDUTA compatíveis e necessárias para o bom desempenho de sua função básica de fidúcia, de que se revestem o aconselhamento e a intermediação de títulos e valores mobiliários para seus clientes: 23.3.2 Regras de Conduta de Ordem Geral:

1)

exercer com probidade e manter permanente capacitação técnica e financeira no exercício das atividades próprias de sociedade corretora de títulos e valores mobiliários;

2)

atuar no melhor interesse de seus clientes;

3)

zelar pela manutenção da integridade do mercado;

4)

fazer prevalecer elevados padrões éticos comportamento, nas suas relações com:

de

negociação

e

de

a)

os respectivos clientes;

b)

outras sociedades corretoras, instituições financeiras e demais instituições e prestadores de serviços;

c)

as autoridades competentes, especialmente a Comissão de Valores Mobiliários (CVM) e o Banco Central do Brasil (BACEN);

d)

a BOVESPA;

e)

os emissores de títulos e valores mobiliários.

a)

other brokers, financial institutions, and other institutions and service providers;

a)

a veiculação ou circulação de notícias ou de informações inverídicas ou imprecisas sobre o mercado;

c)

the competent authorities, especially the CVM Commission) and the Brazilian Central Bank (Bacen);

b)

a criação de condições artificiais de demanda, oferta ou preço;

c)

o uso de práticas não eqüitativas;

d)

Bovespa itself; and

d)

a realização de operações fraudulentas.

the issuers of securities.

the creation of artificial conditions of demand, supply or price;

the use of non-equitable practices; and

the carrying out of fraudulent operations.

Not to carry out any transactions that put at risk their own capacity to deliver securities and/or to effect financial settlement;

To cause their directors, employees, operators, representatives and independent agents related to them faithfully to carry out the requirements of law and regulation, especially those applicable to:

fazer com que seus diretores, empregados, operadores, prepostos e agentes autônomos a elas vinculados cumpram fielmente os dispositivos legais e regulamentares, em especial os aplicáveis:

Not to contribute to: a)

a)

transactions carried out on stock exchanges;

b)

settlement of these transactions with the chambers or houses of compensation or settlement; and

c)

custody of securities.

To cause their directors, employees, operators, representatives and independent agents to maintain adequate decorum in their personal behavior, and at all times to maintain:

à liquidação desses mesmos negócios junto às entidades ou câmaras de compensação e liquidação;

c)

à custódia de títulos e valores mobiliários.

fazer com que seus diretores, empregados, operadores, prepostos e agentes autônomos mantenham adequado decoro pessoal e que observem, permanentemente: a)

padrões de ética e de conduta compatíveis com a função desempenhada;

b)

ilibada reputação;

c)

idoneidade moral;

d)

capacitação técnica;

e)

especialização necessária para o exercício dos cargos.

comunicar ao Superintendente Geral qualquer manipulação de preço; criação de condições artificiais de demanda, oferta ou preço; prática não eqüitativa; e operação fraudulenta que venha a ter conhecimento.

To report to the General Superintendent any manipulation of price, any creation of artificial conditions of demand, supply or price, any nonequitable practice, or any fraudulent transaction, of which they become aware.

10) Not to hire or use, in the activities of intermediary or brokerage, individuals or legal entities that are not members of the securities distribution system, and which do not have the due certification or authorization issued by the regulatory agency. 23.3.3 Rules of Conduct with Clients

To select clients appropriately and to obtain and keep fully updated their client registry information and such details as are necessary for adequate knowledge and evaluation of them; To make available to their clients all the information and documents the obligatory nature of which arises from rules of the CVM or Bovespa or from other related rules, and also the Operational Rules and Parameters that they may establish;

3)

To provide to clients information on the workings and characteristics of the securities market, emphasizing the risk involved in trading of equities;

4)

To take measures to avoid any transactions being carried out in a situation of conflict of interest, and to ensure, at all times and in all circumstances, just and equitable treatment for clients in accordance with the operational rules and parameters;

5)

To provide to clients, in a timely fashion, all the documentation relating to the business carried out by them;

10) não contratar ou utilizar, nas atividades de mediação ou corretagem, pessoas físicas ou jurídicas que não sejam integrantes do sistema de distribuição de valores mobiliários e que não possuam a devida certificação ou autorização emitida por órgão regulador. 23.3.3 Regras de Conduta para com os Clientes

1)

selecionar adequadamente seus clientes, obtendo e mantendo devidamente atualizados os seus dados e informações cadastrais necessárias ao adequado conhecimento e avaliação dos mesmos;

2)

disponibilizar a seus clientes todas as informações e documentos cuja obrigatoriedade decorra de normas da CVM, da BOVESPA ou de outras disposições correlatas, bem com as Regras e Parâmetros de Atuação que estabelecer;

3)

prestar aos clientes informações sobre o funcionamento e características do mercado de títulos e valores mobiliários, com destaque para os riscos envolvidos em operações de renda variável;

4)

adotar providências para evitar a realização de operações em situação de conflitos de interesse, assegurando, em qualquer hipótese, o tratamento justo e eqüitativo aos clientes, de acordo com as Regras e Parâmetros de Atuação;

5)

providenciar o envio aos clientes, em tempo hábil, de toda a documentação relativa aos negócios por eles realizados;

6)

manter sigilo sobre as operações realizadas pelos respectivos clientes e sobre os serviços a eles prestados;

7)

adotar controles internos e manter registros e documentos que proporcionem segurança no fiel cumprimento das ordens recebidas dos clientes, bem como permitam a conciliação periódica, relativamente: a)

ao registro, prazo de validade, procedimento de recusa, prioridade, execução, distribuição e cancelamento das ordens recebidas dos clientes;

b)

às importâncias deles recebidas ou a eles pagas;

c)

às garantias demandadas e depositadas;

d)

às posições de custódia constantes em extratos e demonstrativos

To maintain secrecy on the transactions carried out by the respective clients and on the services provided to them;

7)

To adopt internal controls and to maintain records and documents which definitely assure the faithful execution of orders received from clients, and which allow periodic reconciliation with:

23.3.4 As Regras e Parâmetros de Atuação estabelecidas pelas Sociedades Corretoras Membros devem demonstrar, de forma clara e objetiva, o seu modo de atuação, inclusive, se for o caso, quanto à gravação dos diálogos mantidos por telefone.

b)

the amounts received from them or paid to them;

23.3.5 O disposto neste item 23.3 aplica-se também, no que couber, aos demais participantes que atuem diretamente nos mercados administrados pela BOVESPA.

the guarantees demanded and deposited;

Artigo 2º - Fica revogada a Resolução nº 288/2003-CA, de 22/07/2003.

d)

the custody positions appearing in statements and reports of movement supplied by the entity providing custody services; and

the derivative contracts under its responsibility.

23.3.4 The Operational Rules and Parameters established by Member Brokers must clearly and objectively show the broker’s mode of operation, including, where applicable, their practices in relation to recording of telephone conversations. 23.3.5 The provisions of this item 23.3 also govern, where applicable, the other participants who operate directly in the markets administered by Bovespa.

Clause 2 - Resolution 288/2003-CA, of 22/07/2003, is hereby revoked. The São Paulo Stock Exchange Council Meeting Room 2 September 2003.
